Welcome to Review Bullet & Review My Service (the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between [Global CX]
("we", "us", or "our") and the business entity registering for an account ("Customer", "you", or "your"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
1. Definitions and Interpretation
* "Service": The real-time customer feedback, staff rating, and social engagement software platform provided via QR codes, NFC taps, and digital dashboards.
* "End User": The consumers or retail patrons of the Customer who scan, tap, or interact with the feedback interface.
* "Customer Data": Any data, feedback, ratings, metrics, names, or images uploaded, collected, or processed through your dashboard.
2. Eligibility and Account Registration
* Business Use Only: The Service is a Business-to-Business (B2B) platform. It is not intended for personal or consumer use.
* Account Security: You must provide accurate, current, and complete information during
registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Licence and Scope of Service
* Licence Grant: Subject to these Terms and payment of applicable fees, we grant you a nonexclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations in the United Kingdom.
* Platform Customisation: The dashboard allows you to toggle features (Rate Staff, Rate
Experiences, Social Links) and customise response triggers. You accept sole responsibility for the operational configurations you deploy.
4. Fees, Payment, and Cancellation
* Subscription Model: Access to the Service is billed on a subscription basis (monthly or
annually) as selected during signup.
* Taxes: All fees are exclusive of VAT, which will be charged at the prevailing UK rate where applicable.
* Non-Refundable: Payments are non-refundable except as expressly stated herein or required by law.
* Cancellation: You may cancel your subscription via your dashboard. Cancellation will take effect at the end of your current billing cycle.
5. Data Protection and GDPR Compliance
* Data Roles: For the purposes of the UK GDPR and the Data Protection Act 2018, you (the Customer) are the Data Controller and we (Review Bullet & Review My Service) are the Data Processor regarding all employee and End User data collected.
* Data Deletion & Platform Immutability: You explicitly acknowledge that our Platform provides a secure, immutable log archive designed for data integrity and fraud prevention. The Platform does not support individual backend data deletion, editing, or redaction.
* Your Controller Obligations: Because the logs are immutable, you agree and warrant that you will manage all data subject rights (including employee rights to erasure, restriction, or objection
under UK GDPR Articles 15–22) via your external internal records, HR policies, and administrative workflows outside of our software environment.
* End-User Privacy: You must provide your End Users and staff with legally compliant privacy notices detailing how you process their data. We accept no liability for your failure to secure proper consent or establish a valid lawful basis for data processing.
6. Customer Conduct and Compliance Rules
To maintain the legality of the system under UK employment laws and digital safety standards, you explicitly covenant and agree to the following operational restrictions:
* No Automated Discipline: You shall not use low star ratings or negative End User reviews to automatically discipline, penalise, or terminate your staff. A human manager must always investigate the context of negative reviews manually.
* Content Moderation: You must use your private management dashboard to actively monitor, filter, and delete any abusive, discriminatory, harassing, or illegal End User comments to safeguard your staff's mental well-being under UK workplace safety regulations.
* Data Retention Lifespans: You must enforce reasonable data retention lifespans (recommended
12 months) and manage the lifecycle of performance metrics in alignment with your internal compliance documentation.
7. Intellectual Property Rights
* Our Intellectual Property: We own all rights, titles, and interests in and to the Platform,
including all software, algorithms, QR code systems, user interfaces, documentation, and
trademarks (including "Review Bullet" and "Review My Service").
* Restrictions: You shall not reverse-engineer, decompile, copy, or create derivative works of our Platform, nor attempt to bypass any security or structural constraints.
8. Limitation of Liability and Indemnity
* As-Is Basis: The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.
* Disclaimer of Legal Advice: Any document templates, operational guides, or compliance tips provided by us are for informational purposes only and do not constitute formal legal advice.
* No Liability for Compliance Failures: We accept no liability for any regulatory action, Information Commissioner's Office (ICO) fines, employment tribunal disputes, or legal claims arising from your deployment or operation of our feedback tools.
* Cap on Liability: To the maximum extent permitted by UK law, our total aggregate liability for any claim arising out of or relating to these Terms shall be limited to the total fees paid by you to us in the twelve (12) months preceding the event giving rise to liability.
9. Termination
* Termination for Cause: We reserve the right to suspend or terminate your account immediately, without notice, if you breach these Terms, violate UK laws, or engage in conduct that harms our platform's reputation.
* Effect of Termination: Upon termination, your right to use the Service ceases immediately, and your access to the private management dashboard will be revoked.
10. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim. DATA PROCESSING AGREEMENT (DPA) This section applies to the processing of employee and end-user data on behalf of the Customer.
1. Scope and Roles
* Roles: The Customer is the Data Controller. Review Bullet is the Data Processor.
* Data Types: First names, nicknames, staff photos/avatars, customer ratings, and written
feedback.
2. Processor Obligations
We agree to:
* Process data only on your documented instructions.
* Ensure all our staff handling the data are bound by confidentiality.
* Implement strict technical and organisational security measures to protect the data.
* Assist you in responding to any GDPR data subject access requests where technically feasible.
3. Sub-processors
You authorise us to use third-party infrastructure providers (such as secure cloud hosting) to run the Platform. We will ensure they meet the same high data protection standards.
4. Immutable Architecture Acknowledgement
You explicitly accept that our platform uses an unalterable database for log integrity. You agree to fulfill all individual erasure or correction requests externally via your own company records.
