Terms of Service
These Terms of Use (“TOU”) apply to your access and use of Review Bullet products, services, websites, and apps that you purchase or sign up for on Review Bullet websites and which are branded as “Review Bullet”.
You agree to these Terms by clicking to accept these Terms, executing a document that references them, or using the Services.
Our Customers
Our paid Services are built for, and intended for purchase and use by sole practitioners, entities and organizations for business and professional purposes, and are not intended for use by consumers for personal, family, or household use.
When using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and you represent that you have the authority to do so. In such cases, “you” and “your” will refer to that organization.
1. Fees and Payments
1.1 Fees for Services
You agree to pay us for our Services and these payments are non-refundable.
You agree to pay to Review Bullet any fees for each Service you purchase or use (including any overage fees), in accordance with the pricing and payment terms presented to you for that Service at the time of your purchase. Fees may be updated from time to time in accordance with Section 1.4.
Where applicable, you will be billed using the billing method you select through your account management page. If you pay by credit card, you represent and warrant that the information provided is correct and that you will promptly notify Review Bullet of any changes.
Fees paid by you are non-refundable, except as provided in these Terms or when required by law.
1.2 Subscriptions
Some Services are billed automatically on a recurring basis (monthly or annually). These are referred to as “Subscriptions”.
Subscriptions are billed in advance and automatically renew unless you cancel auto-renewal through your account management page. YOU MAY CANCEL AUTO-RENEWAL AT ANY TIME, AND YOUR SUBSCRIPTION WILL CONTINUE UNTIL THE END OF THE CURRENT BILLING CYCLE.
After cancellation, access will terminate at the end of the billing cycle. See Section 11.1 for account closure.
1.3 Taxes
Taxes are your responsibility. Prices do not include any taxes unless otherwise stated.
You are responsible for paying applicable taxes and keeping billing information accurate. If Review Bullet is required to collect taxes, the amount will be calculated based on your billing information unless a valid tax exemption certificate is provided in a timely manner.
Refunds of collected taxes may be issued if a valid exemption is later confirmed in accordance with applicable laws.
1.4 Price Changes
Fee changes apply only at the end of the current billing cycle. Advance notice will be provided.
If you do not agree to a fee change, you may cancel your Subscription before it takes effect.
2. Privacy
2.1 Privacy
Review Bullet privacy notices explain how your Content and Personal Data are treated. You agree that Review Bullet may use and share your Content in accordance with those notices and applicable law.
Where conflicts exist between these Terms and the Data Processing Agreement, the Data Processing Agreement prevails, except for liability limitations.
2.2 Confidentiality
Your Content is treated as confidential except where it is public, lawfully known, independently developed, received from a third party, or required by law to be disclosed.
2.3 Security
Review Bullet follows industry security standards and will notify you of Security Incidents affecting your account.
Security Incidents exclude unsuccessful attempts that do not compromise Personal Data.
3. Your Content
The Review Bullet logo must be displayed on all displays as part of branding requirements.
3.1 Ownership
You retain ownership of your Content. Review Bullet claims no ownership.
3.2 Limited License
You grant Review Bullet a worldwide, royalty-free license to use your Content solely to provide and improve the Services, including aggregate and de-identified data.
3.3 Representations
You warrant that you have rights to all Content submitted and that it does not violate policies.
3.4 Responsibility
You are responsible for your Content. Review Bullet may remove Content that violates law or these Terms.
4. IP Claims
4.1 DMCA Notices
Review Bullet responds to copyright infringement notices under applicable law.
4.2 Other IP Claims
Other intellectual property claims may be reported immediately.
5. Review Bullet IP
All Review Bullet Services, branding, and feedback remain the property of Review Bullet.
6. Third Party Resources and Services
Review Bullet is not responsible for Third Party Services. Use of such services is at your own risk and governed by their respective terms.
7. Account Management
7.1 Password Security
You are responsible for all activity under your account.
7.2 Account Accuracy
You must keep account and billing information accurate.
7.3 Backups
You are responsible for backing up your Content.
7.4 Account Inactivity
Accounts inactive for over 12 months may be closed.
8. User Requirements
8.1 Legal Status
You must have legal capacity to contract.
8.2 Minors
Services are not intended for Minors under 16.
8.3 Export Control
You must comply with export and trade laws.
8.4 Compliance with Laws
You must comply with all applicable laws.
9. Acceptable Uses Policy
You agree to comply with the Acceptable Uses Policy.
10. PCI Compliance
10.1 PCI Standards
You must comply with PCI-DSS if processing card payments.
10.2 Cardholder Data
You are prohibited from collecting Cardholder Data outside designated fields.
11. Suspension, Account Closure, and Termination
11.1 By You
You may cancel at any time. Refunds are limited and governed by this section.
11.2 By Review Bullet
Review Bullet may terminate Services for convenience or cause, with notice where practicable.
12. Changes and Updates
12.1 Changes to Terms
Material changes will be notified in advance.
12.2 Changes to Services
Services may be modified or discontinued with reasonable notice.
12.3 Downgrades
Downgrades may result in loss of features or Content.
13. Disclaimers, Limitations of Liability, and Indemnification
13.1 Disclaimers
Services are provided “AS IS” to the extent permitted by law.
13.2 Exclusion of Liability
Review Bullet is not liable for indirect or consequential damages.
13.3 Limitation of Liability
Liability is limited to fees paid in the preceding 12 months.
13.4 Indemnification
You agree to indemnify Review Bullet against claims arising from your use.
14. Contracting Entity
Unless stated otherwise, you contract with Review Bullet.
15. Other Terms
15.1 Assignment
You may not assign without consent.
15.2 Customer Lists
Review Bullet may use your name and logo for marketing.
15.3 Entire Agreement
These Terms constitute the entire agreement.
15.4 Independent Contractors
The parties are independent contractors.
15.5 Interpretation
Inclusive terms do not limit scope.
15.6 Language
English controls in case of conflict.
15.7 No Waiver
Failure to enforce is not a waiver.
15.8 Severability
Unenforceable provisions do not affect the remainder.
15.9 Third Party Beneficiaries
There are none.
15.10 Survival
Specified sections survive termination.
